Institutional Legal Binding

These Terms of Service constitute a legally enforceable commercial contract between SYSTRA – SMC LIMITED, registered under the laws of the Republic of Uganda (URSB BRN: 80034927231456), and any commercial counterparty, retail customer of GateGrocer, or enterprise client utilizing our software middleware rails.

1. Corporate Standing & Operational Jurisdiction

SYSTRA – SMC LIMITED is duly incorporated as a private Single Member Corporation under the Companies Act of the Republic of Uganda. All commercial engagements, venture contracts, and API services are executed in accordance with Ugandan statutory jurisdiction, subject to arbitration in Kampala, Uganda.

2. GateGrocer Platform & FMCG Logistics

Through our digital grocery subsidiary, GateGrocer, we provide an on-demand commercial supply and delivery marketplace connecting FMCG manufacturers, fresh produce suppliers, and retail consumers across the Greater Kampala Metropolitan Area:

  • Pricing & Availability: All prices listed on GateGrocer include statutory VAT unless explicitly stated. Product inventory is synchronized in real time with our regional fulfillment hubs.
  • Fulfillment & Last-Mile SLAs: Deliveries are executed via our fleet within the scheduled delivery window selected during checkout. Unforeseen transit delays due to inclement weather or municipal road closures will be communicated immediately via automated telemetry SMS.
  • Perishable Goods & Returns: Perishable items must be inspected upon physical handover. Verified damaged or substandard goods are eligible for immediate replacement or credit refund within 24 hours of delivery.

3. B2B Enterprise Middleware & Financial Rails

Our enterprise software infrastructure (including automated URA PRN generation, EFRIS fiscal invoice signing, and WhatsApp Cloud API connectors) is provided under strict Enterprise Service Level Agreements (SLAs):

Service Availability

Target 99.9% uptime for core payment and statutory fiscal signing microservices, backed by multi-region edge failover.

Cryptographic Security

Clients are responsible for maintaining the confidentiality of API credentials, webhook signing secrets, and admin access keys.

4. Intellectual Property & Proprietary Assets

All trademarks, brand names, software codebases, proprietary logistics algorithms, user interfaces, and domain names (including GateGrocer and SYSTRA SMC LIMITED marks) remain the exclusive intellectual property of SYSTRA – SMC LIMITED. No license is granted without explicit written agreement from the Board of Directors.
